1. Agreement & Acceptance

These Terms form a binding agreement between you (“you,” “user,” or “client”) and Orange Funding LLC (“Orange Funding,” “we,” “us,” or “our”). We may update these Terms at any time by posting a revised version to the site. Your continued use constitutes acceptance of the updated Terms.

2. Eligibility & Accounts

2.1 Eligibility

You must (a) be at least 18 years old (or the age of majority in your jurisdiction) and (b) have the authority to enter into these Terms on behalf of yourself or your business.

2.2 Account Registration

To access certain features, you may need to create an account and provide accurate, current information (e.g., name, business name, contact details, financial information). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2.3 Information Accuracy

You represent that the information you provide is true, accurate, and complete and you agree to update it as necessary.

3. Acceptable Use

  • Comply with all applicable laws and regulations.
  • Do not access or use the Services for unlawful, harmful, fraudulent, or misleading purposes.
  • Do not interfere with or disrupt the Services, networks, or security features.
  • Do not use automated means (scrapers, bots) without our prior written consent.
  • Do not upload or transmit malicious code, or attempt to gain unauthorized access.
  • Do not impersonate any person or misrepresent your affiliation.

4. Intellectual Property

The Services (including text, graphics, logos, images, software, and other content) are owned by Orange Funding or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, or publicly display any portion of the Services except as expressly permitted.

5. Fees & Payments

Where applicable, you agree to pay all fees, charges, and costs associated with any paid Services, products, or funding-related offerings, in accordance with the terms presented at checkout or in your separate agreement with Orange Funding. You must maintain accurate billing details and promptly update any changes. We may modify pricing and payment terms from time to time.

6. Third-Party Services

The Services may reference or integrate with third-party platforms, data sources, or tools (e.g., bank-data providers, e-signature vendors). Your use of those services may be governed by separate terms and privacy practices. We are not responsible for third-party services and disclaim liability arising from them.

7. E-Sign, Messaging & Consents

7.1 E-Sign Disclosure & Consent

By using our electronic workflows, you consent to transact and receive disclosures electronically (including agreements, notices, and communications). You affirm you can access, view, and retain electronic records. You may withdraw consent by contacting us; doing so may limit or delay your ability to use certain Services.

7.2 SMS & Email Communications

By providing your contact information, you consent to receive service-related communications (e.g., status updates, reminders). Marketing messages are sent only with appropriate consent and are governed by our Privacy Policy. Message and data rates may apply. You can opt out of marketing SMS by replying STOP and obtain help by replying HELP.

7.3 Credit Review Authorization (If Applicable)

Where permitted and applicable to your product selection, you authorize Orange Funding and its partners to obtain, receive, and review credit, banking, and related data you provide or permit us to access, for underwriting, fraud prevention, and servicing purposes, consistent with our Privacy Policy and applicable law.

8. Disclaimers

AS IS; AS AVAILABLE. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE FUNDING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ORANGE FUNDING FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Orange Funding and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) your violation of these Terms or applicable law; or (iii) your content or data you submit.

11. Suspension & Termination

We may suspend or terminate your access to the Services, with or without notice, for any reason, including violation of these Terms or legal/operational considerations. Upon termination, your right to use the Services ceases immediately. Sections 3–5 and 7–13 survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any action arising out of or relating to these Terms or the Services.

Optional: If you prefer arbitration, replace the above with a standard binding arbitration clause (AAA/JAMS) and class-action waiver as advised by counsel.

13. Miscellaneous

  • Severability: If any provision is held invalid, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our consent. We may assign freely.
  • Entire Agreement: These Terms (plus the Privacy Policy) are the entire agreement regarding the Services and supersede prior agreements.
  • Notices: We may provide notices via email, the site, or other reasonable means.
